Terms of Service

By engaging Tripster Developers for agency services or using any of our software solutions, including Miko Apps and the Akira theme, you agree to these terms. We keep our terms clear and fair to ensure a productive partnership.

1. Service Engagement

Agency projects begin with a formal proposal and statement of work. By approving a quote or starting a paid trial for any of our services, you enter into a service agreement with Tripster Developers. For our software products, including the Miko Apps suite, terms of use are established upon installation through the Shopify platform or other designated marketplaces. For the Akira theme, terms of use are established upon purchase through the Shopify Theme Store.

2. Software Subscriptions

Miko Apps (including Miko Loyalty and Rewards, Miko B2B Wholesale House, Miko Claude AI, Miko AI Descriptions and Narrate, Miko Product Rentals, and future releases) are billed on a subscription basis. Billing is handled through the Shopify platform or the respective marketplace where the app was installed. You are responsible for maintaining your subscription to ensure uninterrupted service.

3. Akira Theme License

Akira is sold as a one time purchase through the Shopify Theme Store, not a subscription. Your purchase grants you a non exclusive, non transferable license to install and use Akira on a single Shopify store per purchase. This license does not permit you to resell, redistribute, sublicense, or share the theme's source files with anyone else, whether for free or for payment.

Future updates to Akira, when released, are included in your original purchase at no extra cost for as long as the theme remains available on the Shopify Theme Store. Support for the theme is provided through the contact details in section 8 below.

4. Payment and Milestones

For bespoke agency projects, we typically operate on a milestone based payment schedule. A deposit is required to secure your project slot. Software subscription fees are billed monthly as per the plan selected during installation. Theme purchases are billed once, in full, at the time of purchase through the Shopify Theme Store, and refunds are handled in line with Shopify's own Theme Store refund policy rather than by us directly. All other fees are non refundable unless otherwise stated in a specific service agreement.

5. Intellectual Property

Upon final payment for custom agency work, you own the specific code and designs created for your project. Tripster Developers retains full ownership of our proprietary tools, frameworks, foundational logic, the entirety of our Miko Apps software suite, and the Akira theme's underlying source code. Purchasing Akira gives you a license to use the theme as described in section 3, not ownership of its codebase.

6. Liability and Warranties

We strive for technical excellence across all our services and products. However, we are not liable for losses caused by third party platform outages (such as Shopify downtime), API changes beyond our control, or business outcomes. Our liability is strictly limited to the fees paid for the specific service or software subscription during the three months preceding any claim.

7. Governing Law

These terms are governed by the laws of New Zealand. Any disputes will be handled within the jurisdiction of New Zealand courts. This applies to our global agency services and the international use of our software products.
