Agreement to These Terms

These Terms and Conditions govern your relationship with Tripster Developers. By engaging our web design or development services, or by installing and using any app we develop and publish, you agree to be bound by these terms.

These terms apply across two areas of our business:

• Web ServicesWeb design, development, and related digital services we provide to clients.
• AppsSoftware applications we develop and publish, including but not limited to apps on the Shopify App Store.

If you do not agree with any part of these terms, please do not use our services or install our apps. Contact us at hello@tripsterdevelopers.com with any questions before proceeding.

Web Design and Development Services

Scope of Work

All work is carried out based on an agreed project scope. Work outside that scope may be subject to additional charges. Any change to scope during a project should be requested in writing so we can assess the impact on timeline and cost before proceeding.

Project Timeline

Timelines are estimated based on the information available at the time of quoting. Delays caused by late delivery of content, assets, or client feedback may affect the delivery date. We will communicate any timeline changes as early as possible.

Client Responsibilities

• Provide accurate project briefs, content, and assets in a timely manner.
• Review work and provide feedback within the agreed timeframe. Extended delays may affect scheduling.
• Ensure you have full rights to all content, images, and materials you provide for use in your project.
• Designate a single point of contact to avoid conflicting instructions.

Revisions

Each project proposal specifies the number of revision rounds included. Additional revisions beyond that number will be charged at our standard hourly rate.

Delivery and Handover

Final files are transferred to you upon receipt of full payment. We retain the right to showcase completed work in our portfolio unless you request confidentiality in writing before project start.

Apps Developed by Tripster Developers

License

By installing any app we publish, you are granted a non-exclusive, non-transferable license to use that app for your own account during an active subscription. This license does not permit you to resell, sublicense, redistribute, or provide access to the app to any other party.

Platform Terms

Use of our apps is also subject to the terms of the platform on which they are distributed. For apps on the Shopify App Store, Shopify's Partner Program Agreement and Terms of Service apply in addition to these terms. Where a conflict exists, the platform's terms take precedence for matters governed by that platform.

App Functionality

We reserve the right to add, modify, or remove features from any app at any time. We will provide reasonable notice for changes that significantly affect existing functionality. We aim to maintain backward compatibility where practical but cannot guarantee it across all platform or third-party API changes outside our control.

Third-Party Integrations

Some of our apps connect to third-party services (such as ERP systems, APIs, or platforms) that you configure. You are responsible for maintaining access to and the correct configuration of those third-party services. We are not responsible for issues caused by unavailable, misconfigured, or unsupported third-party systems.

Data Accuracy

Our apps perform operations based on the settings and credentials you provide. While we build for reliability and accuracy, we recommend verifying critical data, particularly during initial setup and after any configuration changes. We are not liable for discrepancies arising from incorrect configuration on your side.

Payment Terms

Web Services

• A deposit of 50% is required before project work begins unless agreed otherwise in writing.
• The remaining balance is due on project completion, before final file handover.
• Invoices are due within 14 days of issue unless a different schedule has been agreed.
• Late payments may result in work being paused until payment is received.
• Disputed invoices should be raised within 5 business days of receipt.

Apps

• Billing is handled through the app platform's billing system (e.g. Shopify recurring app charges).
• Charges are made monthly in advance for your selected plan.
• We do not store payment card details. All payment processing is handled by the platform.
• If a charge fails, the platform will notify you and may suspend app access until payment is resolved.

Intellectual Property

Web Services

Upon receipt of full payment, ownership of the agreed deliverables transfers to you. Third-party assets used in the project, such as fonts, stock images, plugins, or frameworks, remain subject to their respective licenses and are not transferred to you as part of project ownership.

We retain the right to use completed work in our portfolio and marketing unless you request confidentiality in writing before project start.

Apps

All apps we develop, including their source code, design, and underlying technology, remain the intellectual property of Tripster Developers. Your subscription gives you a license to use the app, not ownership of it.

You may not reverse-engineer, decompile, copy, or attempt to extract the source code of any app we publish.

Your Content

You retain ownership of all content, data, and materials you provide to us or that pass through our apps as part of your normal business operations. By using our services or apps, you grant us a limited license to process that content solely to deliver the agreed service or app functionality.

Acceptable Use

You agree not to use our services or apps in any way that:

• Violates any applicable laws or regulations.
• Infringes the intellectual property rights of any third party.
• Involves fraudulent, deceptive, or harmful activity.
• Attempts to gain unauthorised access to our systems or any third-party systems connected through our apps.
• Deliberately disrupts or degrades the performance of any app or its infrastructure.
• Involves sending unsolicited commercial messages or spam.
• Misrepresents your identity or affiliation with any person or organisation.

We reserve the right to suspend or terminate your access if we reasonably believe a breach of these conditions has occurred, with or without prior notice depending on the severity of the breach.

Disclaimers and Limitation of Liability

All Services and Apps

Our services and apps are provided "as is" and "as available". We do not guarantee that services will be uninterrupted, error-free, or meet every specific requirement you may have.

Apps

• We are not responsible for data loss caused by incorrect configuration, manual overrides in connected systems, or instability in third-party services you connect to.
• We are not responsible for issues arising from platform API changes, deprecations, or third-party service outages outside our control.
• You are responsible for verifying that your app configuration is correct before using it in a live production environment.

Web Services

• We are not liable for losses arising from website downtime caused by hosting providers, domain registrars, or other third parties outside our control.
• We are not responsible for content you provide that infringes a third party's intellectual property rights.

Limitation of Liability

To the maximum extent permitted by applicable law, Tripster Developers' total liability in connection with any claim under these terms shall not exceed the total fees paid by you for the relevant service or app subscription in the three months immediately preceding the claim.

We are not liable for any indirect, consequential, special, incidental, or punitive damages, including but not limited to lost profits, lost revenue, or lost data.

Refunds and Cancellation

Web Services

• Deposits are non-refundable once project work has started.
• If you cancel before work begins, the deposit may be refunded at our discretion depending on any preparatory work already completed.
• Completed and approved milestones are non-refundable.
• If we are unable to complete a project due to circumstances on our side, we will provide a fair refund for work not yet delivered.

Apps

• You can cancel your subscription at any time from within the platform (e.g. your Shopify admin). Access continues until the end of the current billing period.
• We do not offer pro-rated refunds for unused days within a billing period.
• If you believe you were charged incorrectly, contact us at hello@tripsterdevelopers.com within 14 days of the charge and we will investigate.

Governing Law

These terms are governed by and construed in accordance with applicable law. If a dispute arises between you and Tripster Developers, we encourage you to contact us first at hello@tripsterdevelopers.com so we can resolve it directly without formal proceedings.

If a formal resolution is required, disputes will be subject to the jurisdiction of the courts applicable to the governing law of these terms.

For disputes specifically related to billing or app store conduct, the dispute resolution processes of the relevant platform (such as Shopify) may also apply.

Changes to These Terms

We may update these terms from time to time as our services evolve or as legal requirements change. When we make updates, we will change the "Last updated" date at the top of this page.

For apps distributed on platforms such as Shopify, we may also communicate significant changes through the app listing or by email where we have your contact details.

Continued use of our services or apps after a terms update constitutes acceptance of the revised terms. If you do not agree with the changes, please stop using the relevant service or uninstall the app.
